\".ORGThe American nonprofit organization The Internet Society (ISOC) is selling its assets<\/a><\/noindex>, including the operator Public Interest Registry (PIR), which manages the .org domain. Established \"in the public interest\" for nonprofit organizations, the domain is being transferred to the commercial firm Ethos Capital for an undisclosed amount. The deal is expected to close in Q1 2020 (see press release<\/a><\/noindex>).<\/p>\n

Thus, the registry of 10 million .org domain names and the management of financial flows are being handed over to a commercial company. Interestingly, just five months ago, ICANN indefinitely lifted any restrictions on the maximum prices for .org domains<\/a><\/noindex>. In support of its decision, ICANN cited two public comments. During the public discussion, the organization received 3,315 comments, of which 3,252 were against<\/a><\/noindex> (98,2%).<\/p>\n

Critics argue that ISOC engaged in pre-sale preparations, and that ICANN was misled (or was complicit). Apparently, suspicions have now been confirmed.
\n<\/a><\/noindex>
\nThe newly established closed joint-stock company Ethos Capital will acquire both ISOC and the organization PIR, created in 2002 to manage the .org registry.<\/p>\n

Opposition to the lifting of price caps came from all parties, including domain name registrars. It is now clear that in the event of a sale of the registry, price increases are virtually inevitable. The main losers will be the current .org domain owners, who will face rising renewal costs.<\/p>\n

The managers who organized the deal are pleased with the signed agreement: \"This is an important and exciting event for both ISOC and the PIR registry,\" said Andrew Sullivan, President and CEO of the Internet ISOC. \"The deal will provide the internet community with sustainable funding and resources to advance our mission on a broader scale as we continue our work to make the internet more open, accessible, and secure.\"<\/p>\n

However, not everyone is convinced that PIR, as a nonprofit organization, will continue to operate in the same spirit. It is clear that the new owner has different commercial interests.<\/p>\n

The community's concerns were expressed by the public group Internet Commerce Association in an open letter (pdf)<\/a><\/noindex> to ICANN. Essentially, they dared to articulate what others are reluctant to say, even though the thoughts are in the air:<\/p>\n

Of course, now you can appreciate the terrible mistake that was made. The most important political decisions, which have multi-billion dollar consequences and affect the stability of the internet, must be subject to active governance involvement, rather than left to the discretion of ICANN staff.<\/p>\n

If you were led to believe that removing price caps on .org domain names was a reasonable approach because the registry would remain in the hands of a nonprofit foundation, you have clearly been misled. If you were led to believe that although you are the actual owner of the .org registry, you somehow need to allow your service providers to set prices for services rather than the other way around, you have been misled. If you were told that .org domains have no commercial value in the public benefit sector, you have been misled. If you were told that competition from other gTLDs would keep prices in check for .org, you have been misled.<\/p><\/blockquote>\n

\nSection 7.5 of the registry agreement between Public Interest Registry and ICANN states:<\/p>\n

Except as provided in this section 7.5, neither party may assign any of its rights and obligations under this Agreement without the prior written consent of the other party, which shall not be unreasonably withheld.<\/p><\/blockquote>\n

\nThus, ICANN has the right to block the transfer of the .org management contract, which is what is being proposed. The open letter ends with the following words:<\/p>\n

If your miscalculation regarding entering into a perpetual agreement without any price caps was based on the registry remaining in the hands of an organization serving the public interest, then the proposed sale of the registry to a commercial firm should make you reconsider your approach. Fortunately, the proposed sale of the .org registry gives you the opportunity to withhold your consent, terminate the Registry Agreement after any completed transaction, and put the contract out for bid.<\/p>\n

Where is the ICANN board when it comes to protecting the interests of nonprofit organizations that have registered domains?<\/p><\/blockquote>\n

\nIn 2018, Public Interest Registry's revenue was approximately $101 million, of which nearly $50 million was transferred to the Internet Society, compared to $74 million the previous year.<\/p>\n

The call for ICANN to terminate the contract with the registrar under clause 7.5 may fall on deaf ears if the ICANN members themselves are involved in this deal. Such suspicions do exist.<\/p>\n

The founder and CEO of Ethos Capital is Eric Brooks, who previously worked at an investment company. Abry Partners<\/a><\/noindex>. A year ago, Abry Partners acquired Donuts, the operator of the .guru, .software, and .life domain zones, along with 240 other TLDs. Akram Atallah, the former president of ICANN's global domains division, was appointed as the CEO of Donuts, while one of the co-founders of Donuts took on the role of CEO at Public Interest Registry. Additionally, former ICANN Senior Vice President Jon Nevett is part of Ethos Capital, and former ICANN CEO Fadi Chehad\u00e9 serves as an advisor to Abry Partners. writes<\/a><\/noindex> Domain Name Wire<\/i>.<\/p>\n

In other words, Abry Partners has \"very good connections\" within ICANN.<\/p>\n

Ethos Capital itself was created quite recently, just before the deal to purchase the .org zone. The domain name EthosCapital.com was registered at the end of October 2019.<\/p>\n

The scheme of employing former officials in new commercial enterprises is often used in Russia.<\/a><\/noindex>For example, one of the main suppliers of DPI equipment for blocking Telegram and other services in Russia is the company RDP.ru, which owns 40% of the capital in the company 'Traffic Technologies,' created just four days after the bill for the 'sovereign Runet' was introduced in the State Duma. Another 60% belongs to 'IT Invest,' where the former Deputy Minister of Communications, Ilya Massukh, served as CEO.<\/p>\n

It seems that similar schemes may even work at the level of ICANN.<\/p>\n
